These Terms and Conditions ("Terms") govern your access to and use of Scriptor.uk ("we", "us", or "our") screenwriting software platform (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
1. Definitions
- "Service": The Scriptor.uk screenwriting software platform, including all features, tools, and functionality accessible via web browsers.
- "User" or "You": Any individual or entity that accesses or uses the Service.
- "Content": Any text, scripts, files, data, or other materials created, uploaded, or stored using the Service.
- "Account": A user account registered with Scriptor.uk that provides access to the Service.
- "Subscription": A paid or free tier of access to the Service with specific features and limitations.
2. Account Registration and Eligibility
Age Requirement
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service and agree to these Terms.
Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Account Responsibility
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.
3. User Content and Intellectual Property
Ownership of Your Content
You retain all ownership rights to the Content you create, upload, or store using the Service. We do not claim any ownership rights in your Content. Your Content remains your intellectual property, and you are free to use it as you see fit.
License to Host Your Content
By using the Service, you grant us a limited, non-exclusive, worldwide license to:
- Store, host, and process your Content to provide the Service
- Display your Content to you and any collaborators you explicitly authorize
- Create backups of your Content for data protection purposes
- Process your Content through AI features when you choose to use them (see Section 9)
This license is necessary for us to provide the Service and terminates when you delete your Content or account, except as necessary for us to comply with legal obligations.
Content Responsibility
You are solely responsible for your Content. You represent and warrant that:
- You own or have the necessary rights to all Content you create or upload
- Your Content does not infringe upon the intellectual property rights of any third party
- Your Content does not violate any applicable laws or regulations
- Your Content is not defamatory, obscene, or otherwise harmful
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree to:
- Use the Service in compliance with all applicable laws and regulations
- Respect the intellectual property rights of others
- Use the Service in a manner that does not interfere with or disrupt the Service or servers
- Maintain the security and integrity of the Service
5. Prohibited Uses
You agree NOT to:
- Reverse engineer, decompile, or disassemble any part of the Service, including but not limited to our software, algorithms, or user interface
- Scrape, crawl, or use automated systems to access, collect, or extract data from the Service without our express written permission
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Upload, create, or transmit Content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Interfere with or disrupt the Service or servers, or violate any requirements, procedures, policies, or regulations of networks connected to the Service
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Reproduce, duplicate, copy, or resell any part of the Service without our express written permission
Violation of these prohibited uses may result in immediate termination of your account and may subject you to legal action.
6. Subscription Terms
Subscription Tiers
We offer both free and paid subscription tiers. Features and limitations may vary between tiers. We reserve the right to modify, add, or remove features from any subscription tier at any time.
Billing and Payment
For paid subscriptions:
- Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)
- Payment is processed through our third-party payment processor (Stripe)
- You are responsible for providing accurate payment information and maintaining valid payment methods
- We reserve the right to change subscription fees with 30 days notice to existing subscribers
Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.
Refund Policy: We do not provide refunds for subscription fees already paid. Upon cancellation, you will retain access to paid features until the end of your current billing period.
7. Service Availability
We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or without interruption. The Service may be unavailable due to:
- Scheduled maintenance or updates
- Unforeseen technical difficulties or system failures
- Acts of third parties, including but not limited to internet service providers or hosting providers
- Force majeure events beyond our reasonable control
No Uptime Guarantee: We do not guarantee any specific level of uptime or availability for the Service. We are not liable for any loss or damage resulting from Service unavailability or interruptions.
We recommend that you regularly back up your Content outside of the Service to protect against data loss.
8. AI Features
Scriptor Assistant
The Service includes AI-powered features, including Scriptor Assistant, that may generate, modify, or suggest content based on your input and files.
Ownership of AI-Generated Content
You own all Content generated or created using AI features. Any suggestions, modifications, or content generated by AI features becomes your Content and is subject to the same ownership rights as described in Section 3.
AI Feature Limitations
You acknowledge that:
- AI-generated content may not always be accurate, appropriate, or suitable for your intended use
- You are responsible for reviewing, editing, and verifying all AI-generated content before use
- We are not liable for any consequences resulting from your use of AI-generated content
- AI features may be modified, limited, or discontinued at any time
9. Collaboration Features
The Service may include features that allow you to share your Content or collaborate with other users. When using collaboration features:
- You are solely responsible for determining who has access to your Content
- You grant collaborators the permissions you explicitly set
- You are responsible for the actions of any collaborators you authorize
- We are not responsible for disputes between collaborators or unauthorized access resulting from your sharing decisions
- You may revoke access to your Content at any time
By sharing Content with others, you represent that you have the right to do so and that the Content does not violate these Terms or any applicable laws.
10. Account Termination
Termination by You
You may terminate your account at any time by deleting your account through your account settings. Upon termination, your account and all associated Content will be permanently deleted in accordance with our Privacy Policy.
Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or any applicable laws
- You engage in abusive, fraudulent, or illegal activity
- You use the Service in a manner that harms us, other users, or third parties
- You fail to pay subscription fees when due (for paid accounts)
- We are required to do so by law or legal process
Upon termination by us, your right to access and use the Service will immediately cease, and we may delete your account and Content without liability to you.
11. Intellectual Property Rights
Our Intellectual Property
The Service, including but not limited to its software, design, text, graphics, logos, and other materials, is owned by Scriptor.uk or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Remove any proprietary notices or labels
- Use the Service for any commercial purpose without our express written permission
Your Intellectual Property
As stated in Section 3, you retain all ownership rights to your Content. We do not claim any ownership rights in your Content.
12. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service
- Service interruptions, downtime, or unavailability
- Loss or corruption of your Content or data
- Unauthorized access to or use of your account or Content
- Any conduct or content of third parties on the Service
- Any errors or omissions in the Service
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or £50, whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Scriptor.uk, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or other right
- Your Content or any content you submit, post, or transmit through the Service
14. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree to submit to the personal jurisdiction of such courts.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending you an email notification (for significant changes)
Your continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scriptor.uk regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
